    Terms of Service

    1. Definitions and Scope
    Key Terms
    "Cross-Border Transaction": Refers to the trade of goods/services between buyers and sellers in different countries/regions via the Platform.
    "Applicable Laws": The laws of the governing jurisdiction specified herein and relevant international conventions (e.g., UN Convention on Contracts for the International Sale of Goods).
    "Customs Responsibility": Determined by the selected Incoterms® (e.g., FOB, DDP) for import/export clearance and tax liabilities.
    Scope: These Terms apply to all cross-border B2B transactions on the Platform, including product listings, order fulfillment, payment processing, and dispute resolution.
    2. Account and Compliance Requirements
    Enterprise Verification
    Users must submit valid business licenses, import/export permits (if applicable), tax registration documents, and contact details.
    Specialized products (e.g., medical devices, chemicals) require target market compliance certifications.
    EORI/VAT Details
    Users are responsible for providing accurate EORI (EU), VAT numbers, or equivalent. Customs delays or penalties due to incorrect information shall be borne by the User.
    3. Transaction Rules
    Products and Pricing
    Product listings must specify the country of origin, compliance certifications (e.g., CE, FDA), applicable Incoterms®, and currency (e.g., USD, EUR).
    Prices exclude tariffs, VAT, and similar fees unless explicitly stated as DDP.
    Orders and Contracts
    Confirmed orders constitute binding contracts, governed by Platform order details, Incoterms® interpretations, and written agreements between parties.
    Payment and Exchange Rates
    Accepted methods: Letters of Credit (L/C), wire transfers, or cross-border payment gateways. Exchange rates follow bank rates at the time of payment.
    Late payments incur daily penalties (e.g., 0.1% of the contract value).
    Logistics and Delivery
    The Platform or suppliers may offer international shipping options. Users assume transportation risks per selected Incoterms® (e.g., CIF, FOB).
    Users must provide customs documentation (e.g., commercial invoices, packing lists, certificates of origin).
    4. Import/Export Compliance and Taxes
    Export Restrictions
    Users may not trade goods prohibited by the Platform (e.g., items under international sanctions, military products).
    Import Obligations
    Users must ensure purchased goods comply with the destination country’s quality, safety, and labeling laws. Non-compliance may result in confiscation or penalties.
    Tax Liabilities
    Tariffs, VAT, anti-dumping duties, etc., are assigned per agreed Incoterms®. Unspecified liabilities default to Incoterms® rules.
    5. Limitation of Liability
    The Platform is not liable for:

    Delays or cancellations due to customs policy changes, currency controls, or force majeure (e.g., wars, pandemics).
    Legal risks arising from User’s non-compliance with import/export regulations (e.g., misclassified HS codes).
    Errors or breaches by third-party service providers (e.g., logistics, payment processors).
    6. Intellectual Property and Data Transfer
    IP Compliance
    Users warrant that goods sold do not infringe the destination market’s intellectual property rights. Violations incur full legal liability.
    Cross-Border Data
    Users consent to the transfer of necessary data to overseas servers, compliant with destination laws (e.g., GDPR).
    7. Dispute Resolution
    Negotiation: Disputes shall first be resolved through good-faith negotiations within 30 days.
    Governing Law and Arbitration
    Unresolved disputes shall be submitted to [Arbitration Body, e.g., ICC International Court of Arbitration] or litigated in [Platform’s Jurisdiction Courts].

    8. Miscellaneous
